Terms of Service

1. Agreement to these Terms
These Terms of Service (“Terms”) govern your access to and use of the websites and online services operated by AlpHexa (“AlpHexa”, “we”, “us”), including alphexa.chand its subdomains — the client panel, the prototype preview service, and the account service (together, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you use the Services on behalf of a company, you represent that you are authorized to bind that company, and “you” refers to the company.
If you have signed a separate service agreement, quote, or statement of work with AlpHexa (a “Service Agreement”), that agreement governs the commissioned work and prevails over these Terms wherever the two conflict.
2. Who we are
AlpHexa is a Switzerland-based studio that designs, builds, hosts, and maintains high-performance websites for businesses. You can reach us through the contact form on alphexa.ch or as set out in section 18.
3. The services
The Services include:
- The marketing site (alphexa.ch) — public information about AlpHexa and a contact form.
- The client panel (client.alphexa.ch) — a dashboard where clients follow their projects, view visitor analytics for their websites, and contact us for support and feedback.
- Prototype previews (prototype.alphexa.ch) — password-gated previews of work in progress.
- The account service (auth.alphexa.ch) — sign-in for the above.
Agency work itself — design, development, hosting, and maintenance of your website — is commissioned under your individual Service Agreement.
4. Accounts
Client accounts are created by AlpHexa for its clients; there is no public sign-up. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us promptly (see section 18) if you suspect unauthorized use. You must be at least 16 years old to use the Services.
5. Acceptable use
When using the Services, you agree not to:
- break the law, or infringe anyone's rights, through the Services;
- attempt to gain unauthorized access to any account, system, or data, or probe, scan, or test the vulnerability of the Services without our written permission;
- interfere with the Services' operation — including overloading, flooding, or spamming them, or circumventing rate limits;
- scrape or bulk-extract data from the Services;
- share access credentials or preview passwords with unauthorized third parties.
We may suspend or terminate access that violates this section.
6. Prototypes & previews
Prototype previews are confidential work in progress, shared with you for evaluation only. Preview passwords are issued per project; do not share them outside your team. Prototypes may be incomplete, may change without notice, and may be taken offline at any time. Until the relevant work is accepted and paid for under your Service Agreement, prototypes remain AlpHexa's property.
7. Your content
You retain ownership of all content you provide to us — text, images, logos, data, and other materials. You grant AlpHexa a non-exclusive license to host, process, display, and adapt that content solely to provide the Services and perform the work commissioned under your Service Agreement. You are responsible for ensuring that you have the rights to the content you provide.
8. Visitor analytics
Where AlpHexa operates visitor analytics on your website, we collect the data described in our Privacy Policyon your behalf. You are responsible for ensuring your own website's privacy notice discloses this analytics processing to your visitors as required by applicable law. Analytics figures are provided for general insight, on a best-effort basis, and are not warranted to be complete or audit-grade.
9. Intellectual property
The Services — including their design, code, and branding — are owned by AlpHexa or its licensors and protected by intellectual-property law. Nothing in these Terms transfers any AlpHexa intellectual property to you.
Ownership of commissioned deliverables (your website, its design, and content produced for you) is governed by your Service Agreement. AlpHexa's standard engagement transfers the deliverables to you upon full payment — you own your site, with no lock-in.
10. Fees & payment
Access to the client panel and prototype previews is included in your engagement with AlpHexa. Fees for agency work, hosting, and maintenance are set out in your Service Agreement and invoices. Late or missing payment may result in suspension of the Services after reasonable notice.
11. Availability
We run the Services with care, but they are provided without a guaranteed service level unless your Service Agreement says otherwise. We may modify, suspend, or discontinue features, and perform maintenance, at any time. Where reasonably possible, we give advance notice of disruptive maintenance.
12. Termination
You may stop using the Services at any time, and you may ask us to close your account (see section 18). We may suspend or terminate your access if you materially breach these Terms, if required by law, or when your engagement with AlpHexa ends. Sections that by their nature should survive termination — including ownership, disclaimers, liability limits, and governing law — survive.
13. Disclaimer of warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALPHEXA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. This does not affect warranties given in your Service Agreement.
14. Limitation of liability
To the maximum extent permitted by law, AlpHexa is not liable for indirect or consequential damages — including lost profits, lost data, or business interruption — arising from the use of the Services, and AlpHexa's total liability under these Terms is limited to the amounts you paid AlpHexa in the twelve months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability for intent or gross negligence, for personal injury, or for any other liability that cannot be excluded under Swiss law. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
15. Indemnity
If you use the Services in breach of these Terms or applicable law and that use causes a third-party claim against AlpHexa, you will indemnify AlpHexa against the resulting damages and reasonable costs, except to the extent the claim was caused by AlpHexa.
16. Governing law & venue
These Terms are governed by Swiss law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The competent courts at AlpHexa's registered seat in Switzerland have exclusive jurisdiction, subject to any mandatory consumer forum provided by law.
17. Changes to these Terms
We may update these Terms from time to time. The current version is always published at legal.alphexa.ch/toswith its “Last updated” date. For material changes we will give reasonable notice — for example by email or a notice in the client panel. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
